14. Returns, Refunds, and Replacements

Submitting a return or refund request does not guarantee approval.

Products purchased from an independent retailer or third-party seller must generally be returned to the original seller under that seller’s policy.

Zenvy cannot directly refund a transaction for which Simple Inc. did not collect payment.

15. Subscribe & Save and Automatic Renewal

By enrolling in Subscribe & Save, you authorize Simple Inc. and its payment providers to automatically charge your selected payment method at the price and frequency displayed during enrollment until you cancel.

Before you enroll, Zenvy will disclose:

That the subscription continues until canceled;
The products included;
The recurring price;
The discount, if any;
The billing and shipment frequency;
Any minimum purchase obligation;
How to skip, pause, change, or cancel;
Whether promotional pricing will expire; and
Any other material terms.

Subscription price and frequency

Billing
Your payment method will generally be charged when each recurring order is processed.

Changes and cancellation

Cancellation applies to future renewal orders. It does not automatically cancel or refund an order that has already been processed, packed, or shipped.

Customers who enroll online will be provided an online cancellation method. Zenvy will not require unnecessary steps that obstruct or unreasonably delay cancellation.

Price or material changes
When required by law, we will provide advance notice of material subscription changes or fee increases, together with instructions explaining how to cancel.
The subscription disclosures presented during checkout and in the subscription acknowledgment are incorporated into these Terms.

16. Promotions and Discount Codes

Promotional offers are subject to the terms displayed with the offer.
Unless otherwise stated:

Promotional codes cannot be combined;
Only one code may be used per order;
Codes have no cash value;
Codes cannot be applied retroactively;
Codes may apply only to eligible products;

Cannot be redeemed for cash;
Cannot be used to purchase another gift card;
Are not credit or debit cards; and
Should be protected like cash.

Additional gift-card terms may be presented at purchase.

You retain ownership of your original User Content. By submitting it, you grant Simple Inc., doing business as Zenvy Naturals, a nonexclusive, worldwide, royalty-free, transferable, and sublicensable license to host, reproduce, publish, display, distribute, adapt, and use the content in connection with Zenvy’s website, social media, advertising, and business operations.

You represent that your User Content:

Reflects your honest experience;
Is accurate and not misleading;
Was created by you or submitted with all necessary permissions;
Does not violate another person’s copyright, trademark, privacy, publicity, or other rights;
Does not contain confidential, financial, medical, identification, or other sensitive information;
Does not contain malware or harmful code;
Does not make unlawful disease or treatment claims; and
Discloses any payment, free product, discount, employment, or other material connection with Zenvy.

We may reject, edit, remove, or decline to publish User Content that violates these requirements, although we are not obligated to monitor every submission.

21. Feedback and Ideas

If you voluntarily provide suggestions, concepts, product ideas, names, designs, formulas, improvements, or other feedback, you grant Zenvy permission to use and develop that feedback without restriction or compensation.
Do not submit confidential or proprietary business information unless Simple Inc. has entered into a separate written confidentiality agreement with you.

22. Intellectual Property

The website and its content—including Zenvy trademarks, product names, logos, packaging, graphics, photographs, videos, text, software, designs, and page layouts—are owned by or licensed to Simple Inc. and are protected by applicable intellectual-property laws.

Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the website for lawful personal purposes.
Without prior written permission, you may not:

Modify or create derivative works;

A FORMULA-FINDER RESULT WILL BE APPROPRIATE FOR A PARTICULAR PERSON;

29. Indemnification

Your violation of these Terms;

31. Governing Law and Venue

These Terms are governed by the laws of the State of California without regard to conflict-of-law rules.

Except where applicable law permits or requires another forum, any legal proceeding arising from these Terms or the website shall be brought in the state or federal courts located in Orange County, CA, and the parties consent to the jurisdiction of those courts.

Nothing in this section:

Prevents an eligible party from bringing an individual claim in small-claims court; or
Deprives a consumer of protections that cannot legally be waived under the law of the consumer’s state of residence.

32. Informal Dispute Resolution

Before filing a lawsuit, you and Simple Inc. agree to make a good-faith effort to resolve the dispute informally.

When required by law, we will provide additional notice or obtain consent before applying a material change.

37. Force Majeure

Simple Inc. is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, public-health emergencies, labor disruptions, carrier interruptions, utility or internet failures, cyberattacks, government actions, civil unrest, war, or supply-chain interruptions.

This section does not excuse obligations that cannot legally be excused.

38. Entire Agreement

These Terms and the policies incorporated into them constitute the entire agreement between you and Simple Inc. concerning the website, online purchases, and Services, except where a separate written agreement applies.
They supersede prior or contemporaneous communications concerning the same subject.
